By creating an account, downloading our app, or using any part of our Platform, you confirm that you:

• Are at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Are a resident of or legally operating within Nigeria or South Africa
• Agree to these Terms and our Privacy Policy
• Will use the Platform in compliance with all applicable laws and regulations

Padiconnect is a digital rental marketplace that connects tenants directly with landlords across Nigeria. Our Platform provides:

• Property Listings: A searchable catalogue of verified rental properties
• AI Recommendations: Personalised property suggestions based on your preferences and behaviour
• Smart Matching: ML-powered tenant-landlord matching using preference scoring
• In-App Scheduling: Tools to book and manage property viewings
• Escrow Payments: Secure rent payment flows powered by Xixa Pay
• Smart Alerts: Notifications for rent due dates, new listings, and platform updates
• KYC Verification: Identity checks to maintain a trusted and safe marketplace

Padiconnect acts as an intermediary platform only. We do not own, manage, or control any property listed on the Platform and are not a party to any tenancy agreement formed between landlords and tenants.

To access most features of the Platform, you must register for an account. When you do:

• You agree to provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your login credentials
• You must not share your account with any third party
• You are responsible for all activities that occur under your account
• You must notify us immediately at padiconnect01@gmail.com of any unauthorised access or breach

We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.

If you list a property on Padiconnect as a landlord, you agree to:

• Provide accurate, truthful, and up-to-date property information and photos
• Confirm that you have the legal right to let the property
• Respond to tenant enquiries and viewing requests in a timely manner
• Complete the required KYC and identity verification process before any listing goes live
• Not engage in discriminatory practices based on gender, religion, ethnicity, or disability
• Honour any agreements made with prospective tenants through the Platform
• Comply with all applicable Nigerian housing laws and tenancy regulations

As a tenant using Padiconnect, you agree to:

• Provide accurate personal and financial information during registration and KYC verification
• Use the Platform solely for genuine property searches and legitimate rental purposes
• Not contact landlords outside the Platform to circumvent Padiconnect’s processes
• Keep scheduled property viewings or cancel with reasonable advance notice
• Pay any agreed-upon rental amounts through Padiconnect’s escrow payment system powered by Xixa Pay
• Report any suspicious listings, fraudulent landlords, or platform abuse immediately to our team

All financial transactions on the Platform are processed through our integrated payment partner, Xixa Pay, using an escrow-enabled model designed to protect both landlords and tenants.

• Escrow Protection: Funds paid by tenants are held securely by Xixa Pay until both parties confirm the transaction is successfully completed
• Service Fees: Padiconnect may charge service fees for transactions processed through the Platform. All fees will be clearly displayed before payment is confirmed
• Refunds: Refund eligibility is subject to our Refund Policy, available on request from our support team
• Currency: All transactions are conducted in Nigerian Naira (NGN) unless otherwise agreed
• Disputes: Any payment disputes must be reported within 7 days of the transaction date

Padiconnect is not responsible for failures caused by Xixa Pay’s systems, bank outages, or network disruptions beyond our reasonable control.

You must not use the Platform to:

• Post fraudulent, misleading, or non-existent property listings
• Impersonate another person, landlord, agent, or organisation
• Engage in any form of financial fraud or money laundering
• Collect rental payments outside of the Padiconnect Xixa Pay escrow system
• Harass, threaten, or discriminate against other users of the Platform
• Attempt to reverse-engineer, scrape, or exploit any part of the Platform’s technology
• Violate any applicable Nigerian, South African, or international law or regulation
• Circumvent our KYC, BVN, or NIN identity verification processes

All content on the Padiconnect Platform — including but not limited to the app design, logo, code, text, graphics, and AI features — is the exclusive property of Padiconnect Property Solution and is protected under applicable intellectual property laws.

By uploading property photos, descriptions, or other content to the Platform, you grant Padiconnect a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content solely for the purpose of operating and improving the Platform.

You retain ownership of any content you submit but represent that you have the full right to grant this licence and that the content does not infringe any third-party rights.

To the fullest extent permitted by applicable law, Padiconnect shall not be liable for:

• Any direct, indirect, incidental, or consequential damages arising from your use of the Platform
• Loss or damage resulting from interactions between tenants and landlords conducted outside the Platform
• Inaccuracies in property listings submitted by landlords
• Third-party service failures, including disruptions to Xixa Pay’s payment infrastructure
• Any loss arising from unauthorised access to your account due to your own negligence

Padiconnect’s total liability to you for any claim shall not exceed the amount of fees you have paid to us in the three (3) months immediately preceding the claim.

Either you or Padiconnect may terminate your account at any time.

• By you: Go to your profile, tap Settings, then select Delete Account to permanently remove your profile and all associated data
• By us: We may suspend or terminate your access at any time if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in full effect, including intellectual property rights, payment obligations, and limitation of liability.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties.

If a resolution cannot be reached within 30 days, disputes shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act (Cap. A18, Laws of the Federation of Nigeria 2004), with the seat of arbitration in Lagos, Nigeria.

Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief in a court of competent jurisdiction.
